1. Introduction

Welcome to Mentoria ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Mentoria platform, including any content, functionality, and services offered on or through our website (the "Service").

Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

The Service is intended for users who are at least 18 years of age. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" shall refer to that entity.

3. Account Registration

To access certain features of the Service, you may be required to register for an account. When you register, you must provide accurate, current, and complete information and maintain and promptly update such information.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to disable your account at any time, including if you have violated any provision of these Terms or if activities occur on your account that appear to be illegal or harmful to others.

4. Mentorship Services

Mentoria provides a platform that connects mentees with mentors for professional guidance, career advice, and skill development. The quality and nature of the mentorship are dependent on the individual mentors and mentees.

For Mentees: As a mentee, you acknowledge that:

  • Mentors provide their subjective advice and guidance based on their personal experience and knowledge.
  • The success of the mentorship relationship depends on your active participation and implementation of advice.
  • Mentoria does not guarantee specific career outcomes or job placements as a result of the mentorship.
  • Any advice, guidance, suggestions, or recommendations provided by mentors are their personal opinions and do not represent the views of Mentoria.
  • You are solely responsible for evaluating and making decisions based on advice received, and Mentoria bears no responsibility for the outcomes of implementing such advice.
  • Mentorship is not a substitute for professional services such as legal, financial, medical, psychological, or other regulated professional advice.

For Mentors: As a mentor, you acknowledge that:

  • You will provide professional, constructive, and ethical guidance to mentees.
  • You will maintain the confidentiality of mentee information shared during sessions.
  • You will adhere to scheduled appointments or provide timely notice of cancellations.
  • You have the expertise and experience in the fields for which you offer mentorship.
  • You are responsible for ensuring that your advice does not violate any laws, regulations, or professional standards applicable to your field.
  • You will clearly communicate when you are providing personal opinions versus generally accepted industry practices.
  • You will not make guarantees or promises regarding specific outcomes from your mentorship.

Disclaimer of Responsibility for Mentorship: Mentoria serves solely as a connection platform between mentors and mentees. We do not control, monitor, supervise, or evaluate the content of individual mentorship sessions. Mentoria expressly disclaims any liability or responsibility for any advice, opinions, statements, or recommendations made by mentors on our platform. By using our Service, you understand and agree that you will not hold Mentoria liable for any loss, damage, or adverse consequences resulting from your reliance on information provided during mentorship sessions.

5. Payments and Subscriptions

Mentoria operates on a subscription model. When purchasing a subscription, you agree to pay all fees in accordance with the fees, charges, and billing terms in effect at the time the fee or charge is due and payable.

You are responsible for providing accurate billing information and authorize us to charge your chosen payment method for the subscription you have selected and for any paid feature to which you subscribe.

Subscription Terms: Subscriptions may be offered on a monthly, quarterly, or annual basis.

Refund Policy for Subscriptions:

  • Subscription fees are generally non-refundable once charged.
  • In exceptional circumstances, such as prolonged platform unavailability or failure to provide the core services described, we may issue partial refunds at our discretion.
  • If you are a new subscriber and cancel within 48 hours of your initial subscription purchase and have not used any session credits, you may be eligible for a full refund.

In case of disputes regarding payments or refunds, our decision shall be final and binding.

6. Session Cancellation

Both mentors and mentees may need to cancel sessions. To ensure a harmonious experience for all users, we have established the following policies:

For Mentees:

  • You may cancel a session up to 1 hour before the scheduled start time so that the mentor's time is respected.
  • Repeated late cancellations or no-shows may result in restrictions on your account.
  • Session rescheduling is not available. If you need to cancel a session, you will need to book a new session based on mentor availability.

For Mentors:

  • You are expected to provide at least 1 hour notice for cancellations.
  • Repeated late cancellations may affect your standing on the platform and future bookings.
  • If you must cancel a session with less than 1 hour notice due to emergency circumstances, you should notify both the mentee and Mentoria as soon as possible.

7. User Conduct

You agree to use the Service in accordance with all applicable laws and regulations. You agree not to:

  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
  • Harass, abuse, or harm another person, including sending unwelcomed communications to others.
  • Impersonate or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Attempt to gain unauthorized access to parts of the Service not intended for public access.
  • Use the Service to send or store any harmful code, malware, or similar technologies.
  • Post or transmit any content that is unlawful, fraudulent, threatening, abusive, defamatory, obscene, or otherwise objectionable.
  • Infringe the intellectual property rights of others.
  • Advertise or solicit services outside the platform to avoid platform fees.
  • Harvest or collect information about others without their consent.

7.1. Code of Conduct for Video Calls

To maintain a professional, respectful, and safe environment for all users (mentors and mentees), the following rules apply to all video call interactions on Mentoria Connect:

Professionalism: Users must conduct themselves in a respectful and professional manner at all times.

Prohibited Behavior: The following are strictly prohibited during mentorship sessions:

  • Use of profane, obscene, or offensive language
  • Hate speech, discrimination, or harassment of any kind
  • Threats, bullying, or intimidation
  • Discussing, displaying or sharing illegal, inappropriate, or adult content

Confidentiality & Privacy:

  • Users must not record, screenshot, or share any part of their mentorship sessions without explicit written consent from all parties involved.
  • Sessions will be recorded by Mentoria for quality monitoring, compliance, and training purposes.

Violation & Consequences:

  • Mentoria reserves the right to terminate, suspend, or restrict access for any user found violating these guidelines.
  • Any violation may result in legal action or reporting to relevant authorities if necessary.

7.2. Reporting Misconduct

If you experience or witness any misconduct during a mentorship session, please report it immediately by:

All reports will be handled confidentially and promptly.

8. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Mentoria, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
  • If we provide social media features with certain content, you may take such actions as are enabled by such features.

9. User-Generated Content

The Service may allow you to post, upload, publish, submit, or transmit content, including messages, feedback, reviews, profiles, and session notes ("User Content"). By providing any User Content on the Service, you grant us and our affiliates a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised, without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents, and releases that are necessary to grant to us the rights in such User Content, as contemplated under these Terms; and (ii) neither the User Content nor your posting, uploading, publication, submission, or transmittal of the User Content or our use of the User Content will infringe, misappropriate, or violate a third party's patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

10. AI-Generated Content and Third-Party Services

Mentoria's platform includes AI features and integrates with third-party services. Your use of these features and services is subject to the following terms:

  • Any AI-generated advice or content is provided "as is" without warranties of any kind
  • You acknowledge that AI-generated content is supplementary and not a replacement for professional advice
  • Mentoria is not responsible for any decisions made or actions taken based on AI-generated content
  • Your use of third-party services through our platform is at your own risk
  • Mentoria is not liable for any failures, interruptions, or errors in third-party services

AI-Generated Career Advice: While Mentoria Connect's AI provides career recommendations, all advice should be treated as guidance only. Implementation of the advice is to be done upon the user's discretion.

Limitations: AI cannot replace personalized professional advice, particularly for legal, financial, or psychological matters.

User Responsibility: Users are encouraged to verify AI recommendations with human mentors or seek professional expertise before making career decisions.

11. Confidentiality

As part of the mentorship process, mentors and mentees may exchange confidential information. Both parties agree to:

  • Keep confidential any non-public information shared during mentorship sessions.
  • Not disclose such information to third parties without explicit permission.
  • Use confidential information solely for the purpose of the mentorship relationship.
  • Take reasonable measures to protect the confidentiality of such information.

This confidentiality obligation does not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was known to the receiving party prior to the mentorship relationship; (iii) is required to be disclosed by law or legal process; or (iv) is disclosed with the prior written consent of the disclosing party.

12. Disclaimer of Warranties

The service and all content and services provided through the service are provided on an "as is" and "as available" basis, without warranty of any kind, either express or implied.

Without limiting the foregoing, we explicitly disclaim any warranties of merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement, and any warranties arising out of course of dealing or usage of trade. We make no warranty that the service will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

No advice or information, whether oral or written, obtained from us, through the service, from mentors, or from AI-generated content, will create any warranty not expressly made herein.

Specifically, Mentoria does not warrant, endorse, guarantee, or assume responsibility for:

  • The accuracy, reliability, or completeness of any advice provided by mentors
  • The professional qualifications, expertise, quality, or behavior of mentors
  • The outcomes or results from following advice received from mentors or AI tools
  • The performance, availability, or security of third-party services integrated into our platform
  • The uninterrupted or error-free operation of video conferencing, payment processing, or communication services

13. Limitation of Liability

To the maximum extent permitted by applicable law, neither Mentoria nor its service providers, employees, agents, officers, or directors shall be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, the service or any materials or content on the service, even if we have been advised of the possibility of such damages.

Without limiting the foregoing, Mentoria specifically disclaims any liability for:

  • Actions or omissions of mentors or other users
  • Content, advice, or information received through the platform
  • Outcomes resulting from the implementation of mentorship advice
  • Career, employment, financial, or business decisions made based on platform content
  • Technical failures or interruptions in service
  • Unauthorized access to or use of your account or personal information

If, notwithstanding the other provisions of these Terms, we are found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the service or any content, our liability shall in no event exceed the greater of (A) the total of any fees paid by you to Mentoria in the six months prior to the date of the initial claim, or (B) 5,000 Indian Rupees.

The limitations of liability in this section will apply even if any of the foregoing limited remedies fail of their essential purpose.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Mentoria, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

15. Termination

We may terminate or suspend your access to all or part of the Service, with or without notice, for any conduct that we, in our sole discretion, believe is in violation of these Terms, is harmful to other users, to us or our partners, violates applicable law, or is harmful to the interests of our community.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Account Deletion Process: To request deletion of your account, you can:

  • Email us at appsupport@mentoria.com with the subject "Account Deletion Request"
  • Use the account deletion option within your account settings
  • Contact our support team at 8291856155

Upon receiving your request, we will verify your identity and process the account deletion within 30 days. Please note that:

  • Some information may be retained for legal, regulatory, or legitimate business purposes
  • Copies of your data may exist in backup systems for a limited time
  • Content you shared with others (such as messages to mentors/mentees) may remain visible
  • We may retain anonymous, aggregated data derived from your usage

16. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India, without giving effect to any choice or conflict of law provision or rule.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the courts of Mumbai, Maharashtra, India, and you irrevocably submit to the personal jurisdiction of such courts in any such action or proceeding.

17. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the dispute through good-faith negotiations, which shall be a condition precedent to either party initiating legal action.

If the parties are unable to resolve the dispute through good-faith negotiations within a reasonable period of time, the dispute shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in Mumbai, Maharashtra, by a sole arbitrator appointed by Mentoria. The language of the arbitration shall be English.

The arbitration award shall be final and binding on the parties. The parties agree to exclude any right of application or appeal to the courts in connection with any question of law arising in the course of the arbitration.

18. Changes to Terms

We may revise these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Service thereafter. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and us concerning the Service. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Force Majeure

Mentoria shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond Mentoria's reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation, acts of God, terrorism, pandemic, epidemic, strikes or other labor disputes, riot, civil unrest, or government regulations or orders.

22. Class Action Waiver

You and Mentoria agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Further, unless both you and Mentoria agree otherwise, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it legal, valid, and enforceable while preserving the intent of the provision. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.

14. Session Notes and Transcriptions

During mentorship sessions, AI-powered transcription may be used to document the session content. By using our Service, you agree to the following terms regarding session notes and transcriptions:

  • All session notes and transcriptions are owned by Mentoria
  • You may not share, distribute, or publish session content without explicit written permission from all participants and Mentoria
  • You may not use session content for any commercial purpose
  • You grant Mentoria the right to use anonymized session content for service improvement
